Bruce Shulan’s career includes numerous business and legal achievements as a turnaround architect, operating executive, entrepreneurial problem solver, lead negotiator, and general counsel. His track record is based upon a strong set of analytical, technical and strategic skills developed through years of high exposure issue resolution and turnaround management while serving as a senior executive and board member of a financial services / marketing group and various insurance companies.
Mr. Shulan, working in a consulting capacity, recently completed an engagement involving the development and implementation of a turnaround and disposition strategy for a corporate group seeking to exit certain nonstrategic businesses with the goals of improving profitability and reallocating capital to core businesses. Other recent engagements have included development of a business plan and economic model for a start-up enterprise focused on the acquisition and management of discontinued businesses within the insurance industry, the development and implementation of an operating plan for a medical screening company, service as an arbitrator and as an expert witness. The scope of his engagements have included research and due diligence within target markets; concept validation with investment bankers, lawyers, rating agencies and senior executives; development of plans and the underlying financial assumptions; budgeting; and, identification of senior management teams.
Mr. Shulan began working with Talegen (f/k/a Crum & Forster) in November of 1992 on matters associated with its restructuring and was elected Senior Vice President and General Counsel of International Insurance Company (The Resolution Group) as well as a member of its Board of Directors in the fall of 1993. International specialized in workouts and discontinued operations and was charged with handling the extraordinary problems associated with assets in excess of $3 billion. When Mr. Shulan left in late 1996, receivables had been reduced by more than $1 billion and surplus had increased by $150 million.
During his tenure with Talegen, Mr. Shulan’s successes included such diverse matters as the structuring of a transaction which provided more than $1 billion of balance sheet strengthening to the group; the acquisition for demolition of a subdivision comprised of more than 625 homes, an elementary school and recreational facilities; the negotiated resolution of more than $1.5 billion of litigation; and, the zero cost negotiated dissolution of a Temporary Restraining Order blocking a transaction valued at more than $ 2 billion.
From November of 1987 until October of 1992, Mr. Shulan held various positions with The Signature Group, including Senior Vice President - Commercial Lines, member of the Board of Directors of Signature Financial/Marketing, Inc. and subsidiary companies, and Senior Vice President and General Counsel. While at Signature, Mr. Shulan assumed responsibility for the turnaround and wind down of a division of the group as well as being responsible for a legal department consisting of more than 35 individuals.
Mr. Shulan has also held positions as both a partner and an associate in law firms as well as having served as a Vice President of American Centennial Insurance Company during the initial period of its turnaround in the mid 1980’s.
Mr. Shulan received his Bachelor of Arts degree, Cum Laude, in Psychology from The University of Vermont in 1979 and his Juris Doctor from the Boston University School of Law in 1982. He is licensed to practice in Connecticut, New York, New Jersey and Illinois.
In summary, Mr. Shulan has proven himself a dynamic and creative leader, team builder and problem solver with the skills necessary to formulate and implement strategic solutions across disciplines in situations where no solution is readily apparent.
